License Agreement and Terms of Use

Last updated: October 24, 2026

This End User License Agreement ("Agreement") is between you and Acharya Innovations, Inc., a Delaware corporation ("we", "us"), and governs your use of the HearingScribe software for macOS, including updates (the "Software"). By installing, opening or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.

1. What the Software does

The Software records audio on your Mac (your microphone and, if you enable it, audio played by your computer, such as video calls), and creates transcripts with speaker labels using machine-learning models that run entirely on your device. We do not receive your recordings, transcripts or speaker information.

2. License

2.1 Grant. Subject to this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on Macs you own or control.

2.2 Free version. The free version may be used without charge, with the limits described in the Software or on our website (for example, a maximum recording length).

2.3 Pro license. A Pro license, bought in the Mac App Store or from us, removes those limits. A Pro license:

  • is a one-time purchase that does not expire. The version you have continues to work indefinitely;
  • includes the updates we choose to release for it. A future major new version may be offered as a separate purchase;
  • is for one person, on the Macs that person uses (for App Store purchases, as allowed by Apple's Usage Rules). Business or team use by several people requires one license per person.

2.4 Restrictions. You may not: (a) copy, sell, rent, lease, sublicense or distribute the Software or a license key; (b) circumvent license checks or usage limits; (c) reverse engineer, decompile or disassemble the Software except as allowed by applicable law notwithstanding this restriction; (d) remove proprietary notices; or (e) use the Software in violation of any law, including recording laws (see Section 3).

2.5 Open-source components. The Software includes third-party open-source components (including speech and speaker models), licensed under their own terms, which are listed in the Software (About → Acknowledgements). Nothing in this Agreement limits your rights under those licenses.

3. Your responsibility for recording and consent — IMPORTANT

3.1 Laws differ by place. Many jurisdictions restrict recording conversations. Some US states (for example California, Illinois and Washington) and many countries require the consent of every participant before a conversation is recorded. Some laws also regulate voice or biometric information. Violations can carry civil and criminal penalties.

3.2 You are responsible. You alone decide when to record. You are solely responsible for complying with all laws that apply to your recordings, including telling participants and obtaining any consent required where you and each participant are located. You also agree to follow the rules of the meeting platforms and employers involved. The Software's consent reminders are a convenience, not legal advice, and do not guarantee compliance.

3.3 No covert use. You must not use the Software to record people secretly or unlawfully, to stalk, harass or surveil anyone, or to record any conversation you have no right to record. The Software is designed to be used openly: it shows when it is recording, and we will not add features meant to hide recording.

3.4 Others' data. Recordings and transcripts you create may contain other people's personal information. You are responsible for storing, sharing and deleting them lawfully, including responding to requests from the people recorded where the law requires it.

4. Accuracy and professional use

4.1 Transcripts and speaker labels are produced automatically and may be inaccurate, incomplete or attribute words to the wrong speaker (for example in noisy audio, with overlapping speech, accents or long silences). Review transcripts before relying on them.

4.2 The Software is not a substitute for a certified transcriber or reporter, interpreter, medical scribe or official record, and must not be relied on as the sole record for legal, medical, financial, safety-critical or employment decisions.

4.3 We do not access or host your data, and we are not your "business associate" under HIPAA or a data processor for your recordings. If you work in a regulated field, you are responsible for deciding whether and how to use the Software under your obligations.

5. Your content

You own your recordings and transcripts. Because they stay on your device, you are responsible for backing them up. Uninstalling the Software or deleting its data folder may permanently delete them. We cannot recover them.

6. Privacy

Our Privacy Policy explains the limited information involved in purchases, license activation and update checks. The Software does not send your audio, transcripts or voice information to us.

7. Purchases, payments and refunds

Purchases in the Mac App Store are processed by Apple, and Apple's terms of sale also apply. Purchases made from us directly are processed by the payment provider named at checkout and on your receipt. All sales are final, except as described in our Refund Policy. Nothing in this Agreement limits any non-waivable consumer rights you have under the law of your country.

8. Updates

We may provide updates that fix problems, change features or address legal requirements. The Software may check for updates as described in the Privacy Policy. You can turn automatic checking off.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT RECORDINGS WILL BE CAPTURED COMPLETELY OR THAT TRANSCRIPTS WILL BE ACCURATE. Some jurisdictions do not allow these exclusions, so some may not apply to you.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA (INCLUDING LOST OR INCOMPLETE RECORDINGS) OR BUSINESS INTERRUPTION; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM, OR US$50 IF YOU PAID NOTHING. These limits do not apply to liability that cannot be limited by law, such as for fraud, gross negligence or willful misconduct where those exceptions are mandatory.

11. Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless Acharya Innovations, Inc. and its officers, employees and agents from claims, damages, fines and costs (including reasonable attorneys' fees) arising from (a) recordings you make or share, including any claim that you recorded without required notice or consent, (b) your violation of this Agreement, or (c) your violation of any law or third-party right.

12. Termination

This Agreement continues until terminated. It ends automatically if you materially breach it (for example, by sharing license keys or using the Software for unlawful recording). On termination you must stop using the Software. Sections 3, 4, 5, 9, 10, 11, 13 and 14 survive termination.

13. Governing law and disputes

This Agreement is governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply. Disputes will be resolved in the state or federal courts located in the State of Delaware, unless the law of your country of residence gives you the right to bring proceedings in your local courts.

14. General

  • Export. You will comply with applicable export control and sanctions laws.
  • US Government users. The Software is "commercial computer software" licensed under these terms only.
  • Entire agreement and changes. This Agreement, the Privacy Policy and the Refund Policy are the entire agreement about the Software. We may update this Agreement for future versions. Material changes are shown in the Software before they apply to you.
  • Severability and waiver. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign this Agreement without our consent. We may assign it in connection with a merger, acquisition or sale of assets.
